Terms of Service

Agreement

These Terms of Service ("Terms") govern your use of mattblake.ai and the services provided by MB Systems LLC ("MB Systems," "we," "us"). By using the site, creating an account, or paying for services, you agree to these Terms. If you agree on behalf of a business, you confirm you have authority to bind it, and "you" means that business.

Eligibility

Our services are for business use only. You must be at least 18 years old to use them.

Our services

AI voice and chat agents, setup, ongoing management, and related services included in your plan, as described on our pricing page and confirmed during onboarding. Features depend on third-party platforms and may change over time.

Setup and launch

We aim to launch within 14 days of receiving your setup fee and the information and access we need. Timelines are estimates and depend on your responsiveness and on third-party approvals, such as Google Business Profile verification and text messaging registration. Your agent goes live only after you approve it.

Your account

You access the service through the client portal. Keep your login secure. You're responsible for activity under your account.

Fees and billing

• Setup fee: due before work begins. Non-refundable once work has started.
• Monthly subscription: billed monthly in advance, month-to-month.
• AI usage: call minutes and messages are billed separately at cost.
• You authorize us to charge your payment method on file for these amounts. Payments are processed by Stripe.
• Prices don't include taxes, if any apply.
• We may change pricing with at least 30 days' notice. New pricing applies from your next billing period after the notice period.
• If a payment fails, we may pause service until the balance is paid.

Pausing and canceling

• Pause: text or email us, and your agents are paused the same day. Pausing doesn't stop billing.
• Cancel: give 30 days' notice by text or email. Billing ends after the notice period. There's no cancellation fee, and partial months are not refunded.

Suspension and termination by us

We may end your service at any time, for any reason, with 14 days' notice. If we do, we'll refund any prepaid subscription fees for the unused period. We may pause or end service immediately for nonpayment, abusive conduct, misuse, or violation of these Terms. Setup fees are non-refundable once work has started.

After service ends

• Call forwarding to your agent is turned off, and your existing business phone number stays yours.
• On request within 30 days, we'll provide an export of your available lead and conversation data. After that, it may be deleted.
• Domains registered for your business are transferred to you on request once your account is paid in full.
• Website hosting ends, and our access to your calendars, social pages, and Google Business Profile is removed.

Your responsibilities

• Provide accurate business information, including prices, hours, services, and policies, and tell us when it changes. Your agent answers based on what you provide.
• Review and approve your agent before it goes live, and review conversation summaries.
• Keep your Google Business Profile, social pages, and domain in your business's name, with us added as a manager where needed.
• Comply with all laws that apply to your business, including call recording notice and consent laws, text messaging and telemarketing rules, and any privacy notices owed to your customers.
• Don't use the service for spam, robocalls, harassment, or anything unlawful or deceptive.

AI limitations

AI agents can make mistakes. We don't guarantee the service will be error-free or uninterrupted. Review your summaries and contact us if something needs correcting. The service is not a substitute for emergency services; anyone with an emergency should call 911.

Third-party services

The service relies on third-party providers, including our AI agent platform, AI model providers, phone and messaging carriers, Meta, Google, and any tools you connect. Their outages, changes, or decisions, such as suspending an account or page, may affect the service, and their own terms may apply.

Ownership

You own your business content and your customer data. We own our systems, configurations, and methods. You give us permission to use your content to provide the service. We won't use your business name or logo publicly without your permission.

Confidentiality

We keep your non-public business information confidential and use it only to provide the service.

Communications

You agree that we may contact you by email, text, or phone about your account and the service.

No guaranteed results

Results vary by business. Figures from our revenue calculator are estimates based on the numbers you enter, not guarantees.

Disclaimer

The service is provided "as is" and "as available," without warranties of any kind, to the extent permitted by law.

Limitation of liability

To the extent permitted by law, MB Systems is not liable for indirect, incidental, or consequential damages, including lost profits, lost business, or missed or incorrect appointments. Our total liability for any claim is limited to the amount you paid us in the three months before the claim.

Indemnification

You agree to cover claims arising from your content, your use of the service, or your failure to comply with applicable laws.

Events beyond our control

We're not liable for delays or failures caused by events outside our reasonable control, including outages of third-party platforms, carriers, or internet service.

Governing law and disputes

These Terms are governed by the laws of the State of Indiana. If a dispute comes up, contact us first so we can try to resolve it informally. Any legal action will be brought in the state or federal courts located in Indiana.

Changes to these Terms

We may update these Terms at any time. For material changes, we'll notify active clients by email or text before they take effect. Continued use of the service after changes take effect means you accept the updated Terms. The "Last updated" date shows when this page was last revised.

General

These Terms, together with any written order or agreement for your plan, are the entire agreement between us. If any part is found unenforceable, the rest still applies. Not enforcing a part of these Terms isn't a waiver. You may not transfer your account without our consent; we may transfer these Terms as part of a sale or transfer of our business.
